These Terms & Conditions (“Agreement”) form a legally binding contract between you (“Customer”, “User”) and Layer One Supplies (“Company”, “we”, “us”, “our”), governing all access to and use of this website and all purchases made through it.

This Agreement is formed and enforceable in accordance with applicable laws including but not limited to:

• Ontario Consumer Protection Act, 2002 (Canada)

• Sale of Goods Act (Ontario) and equivalent provincial statutes

• Electronic Commerce Act (Canada)

• Uniform Commercial Code, Article 2 (United States)

• U.S. Federal Trade Commission Act

• Electronic Signatures in Global and National Commerce Act (E-SIGN Act, U.S.)

By accessing this website, placing an order, or submitting payment, you expressly acknowledge that you have read, understood, and agree to be bound by this Agreement in full. If you do not agree, you may not place an order.

1. Entire Agreement

This Agreement, together with all referenced policies including the Returns & Refunds Policy, Shipping Policy, Privacy Policy, and Cookie Policy, constitutes the entire and exclusive agreement between the parties. No oral statements, prior representations, or agreements shall modify these Terms.

2. Online Use & Website Conduct

You agree to use this website only for lawful purposes and in compliance with all applicable Canadian and U.S. laws. Any unauthorized access, misuse, interference, or attempt to compromise the website’s systems or security is strictly prohibited and may result in immediate termination of access and legal action.

3. Cookies & Tracking Technologies

This website uses cookies and similar technologies to ensure functionality, improve performance, analyze traffic, and personalize content in accordance with Canadian PIPEDA and U.S. privacy laws. By continuing to use this website, you consent to the use of such technologies as described in our Privacy and Cookie Policies.

4. Payment Authorization & Financial Responsibility

All payments must be made in full at checkout. Orders are not confirmed until payment has been successfully authorized.

By submitting payment, you provide express authorization for Layer One Supplies to charge the total amount displayed at checkout, including all applicable taxes, shipping fees, duties, and surcharges.

Any attempt to reverse, dispute, or withhold payment without lawful justification constitutes material breach of this Agreement and may result in permanent account termination and legal remedies.

5. Shipping, Risk Transfer & Ownership

Delivery times are estimates only and are not guaranteed.

Ownership and risk of loss transfer to the Customer immediately upon shipment, consistent with the Ontario Sale of Goods Act and UCC §2-401 and §2-509. Once shipped, Layer One Supplies bears no liability for delays, loss, theft, carrier error, customs clearance, weather conditions, or other events beyond our control.

6. Final Sale Policy

ALL SALES ARE FINAL ONCE AN ORDER HAS BEEN SHIPPED.

No cancellations, returns, or refunds are permitted after shipment except as expressly stated herein.

Layer One Supplies does not issue refunds for:

• Customer ordering errors

• Change of mind

• Subjective dissatisfaction

• Incompatibility with equipment or installation processes

• Failure to review product specifications

• Products not meeting personal expectations

The Customer bears full responsibility for confirming product suitability prior to purchase.

7. Limited Product Issue Eligibility

A remedy may be considered only if the product is:

• Damaged in transit

• Defective upon arrival

• Materially inconsistent with the product description

Claims must be submitted in writing within 48 hours of delivery with clear photo and video documentation. Failure to comply voids eligibility for any remedy.

Layer One Supplies retains sole discretion to issue a replacement, store credit, or refund.

8. Unauthorized Returns

Returns shall not be accepted without prior written authorization. Unauthorized returns will be refused and returned at the Customer’s expense.

9. Chargebacks & Dispute Abuse

Initiating a chargeback or payment dispute without first allowing Layer One Supplies the opportunity to resolve the matter constitutes material breach of contract. We maintain complete records of transactions, communications, shipping logs, and policies and will vigorously contest improper disputes.

10. Limitation of Liability

To the maximum extent permitted by law, Layer One Supplies shall not be liable for any indirect, incidental, consequential, special, or punitive damages. Total liability shall not exceed the purchase price of the product giving rise to the claim.

All products are used at the Customer’s sole risk.

11. Indemnification

Customer agrees to indemnify and hold harmless Layer One Supplies from any claims, damages, losses, liabilities, costs, and legal fees arising from misuse of products, negligence, violation of this Agreement, or unlawful use of this website.

12. Governing Law & Jurisdiction

This Agreement shall be governed by the laws of the Province of Ontario, Canada, and applicable United States federal and state commercial laws for U.S. transactions. Any legal proceeding shall be brought exclusively in the courts of Ontario, Canada, unless otherwise required by mandatory consumer-protection statutes.

13. Modifications

Layer One Supplies reserves the right to modify this Agreement at any time without prior notice. Continued use of the website or placement of any order constitutes acceptance of the revised terms.

14. Binding Acceptance

Completion of checkout or continued use of this website constitutes legal acceptance of these Terms & Conditions under the Electronic Commerce Act (Canada) and the E-SIGN Act (United States).
